By accessing and using Freytor's logistics management platform ("Service"), you accept and agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our Service.

2. Description of Service

Freytor provides a cloud-based logistics management platform that enables businesses to track shipments, manage inventory, optimize delivery routes, and integrate with various shipping carriers. Our Service is provided "as is" and may be modified, suspended, or discontinued at any time.

3. Account Registration

To use our Service, you must:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Be legally capable of entering into binding contracts
• Not be prohibited from using the Service under applicable laws

You are responsible for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.

4. Subscription and Payment

Billing

Subscription fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law or as explicitly stated in these terms.

Free Trial

New users may receive a 14-day free trial. No credit card is required during the trial period. After the trial expires, you must subscribe to continue using the Service.

Plan Changes

You may upgrade or downgrade your subscription plan at any time. Changes take effect at the next billing cycle unless otherwise specified.

5. Acceptable Use Policy

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Attempt to gain unauthorized access to any portion of the Service
• Interfere with or disrupt the Service or servers
• Transmit viruses, malware, or other malicious code
• Reverse engineer, decompile, or disassemble the Service
• Use the Service to send spam or unsolicited communications
• Resell or redistribute the Service without authorization
• Remove or modify any proprietary notices or labels

6. Intellectual Property

Freytor retains all rights, title, and interest in and to the Service, including all related intellectual property rights. You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these terms.

You retain all rights to your data. By using the Service, you grant Freytor a license to use your data solely to provide and improve the Service.

7. Data and Privacy

We collect and use your data as described in our Privacy Policy. You are responsible for ensuring that any data you provide or upload complies with applicable data protection laws.

8. Service Level and Availability

While we strive to provide 99.9% uptime, we do not guarantee uninterrupted access to the Service. We reserve the right to perform scheduled maintenance and may suspend the Service temporarily for upgrades or repairs.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Freytor shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim
• We are not responsible for delays or failures caused by circumstances beyond our reasonable control
• We do not guarantee the accuracy, completeness, or timeliness of carrier tracking data

10. Indemnification

You agree to indemnify and hold harmless Freytor, its affiliates, officers, and employees from any claims, damages, losses, or expenses arising from your use of the Service, violation of these terms, or infringement of any third-party rights.

11. Termination

By You

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period.

By Us

We may suspend or terminate your account if you violate these terms, fail to pay fees, or engage in fraudulent activity. We will provide reasonable notice unless immediate termination is required for legal or security reasons.

12. Modifications to Terms

We reserve the right to modify these terms at any time. We will notify you of material changes via email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the modified terms.

13. Governing Law

These terms shall be governed by and construed in accordance with the laws of Panama, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Panama City, Panama.

14. Dispute Resolution

Before filing a claim, you agree to contact us at legal@freytor.com to attempt to resolve the dispute informally. We commit to working in good faith to reach a mutual resolution.
